The Company and any associated mobile applications, including all media, documentation, and services provided therein, are collectively referred to as the "Platform." For the purposes of these Terms and Conditions of Use (hereinafter referred to as the "Terms"), "You" shall mean the individual accessing or using the Platform. By availing the services of the Platform, you agree to be bound by these Terms, as updated from time to time.

Please review these Terms carefully as they outline the conditions governing your use of the Platform. The Company reserves the right to make changes to the Platform and these Terms at any time, and it is your responsibility to review them regularly.

If you do not accept the Terms or fail to meet or comply with their provisions, we kindly ask that you refrain from using or accessing the Platform and the services or products offered by the Company through the Platform.

Purpose

The Company provides its Platform for use by individuals/organisations with specific objectives, collectively referred to as “Users”:

Job Seekers: Individuals seeking job opportunities, vacancies, and other career enhancement services offered by the Company.
Recruiters: Individuals or organizations aiming to share information about job vacancies, including agencies representing multiple employers or organizations.

The Platform serves as an initial point of contact and information exchange between Users who genuinely intend to connect for purposes related to authentic job vacancies and career advancement services. The Company emphasizes that the Platform is intended for facilitating genuine job searches and career progression, fostering meaningful connections between Job Seekers and Recruiters.

By accessing and utilizing the platform, you affirm and guarantee that you possess the competence to enter into a legally binding contract in accordance with the laws of the UAE and that you are eligible to lawfully engage in the Purpose above as defined within the jurisdiction of the UAE.

Acceptable Use of the Platform

The Platform and its related services are to be availed lawfully and legitimately. The Company reserves the sole right to determine which actions constitute acceptable use of the Platform and what accounts for illegal, fraudulent, or harmful activity. Careful perusal of the following is requested:

DOs:

Accuracy: Ensure that the information you provide in your profile is accurate, truthful, and regularly up-to-date.
Privacy: Respect the privacy of other users on the Platform and engage in only authorized access to their profiles, data, and personal information.
Compliance: Comply with all applicable local, provincial, state, national, and international laws and regulations while accessing or using the Platform.
Purpose: Utilize the website and its services/products only for their intended purpose, as stated in the Purpose section of the Terms.
Reporting: Promptly report any unauthorized access, misuse, or violations of the Terms to the website administrators.
Protection: Safeguard your account credentials and take necessary measures to prevent unauthorized access to your account.

DON’Ts

Content Misuse and Manipulation: Refrain from modifying the platform's services or appearance without explicit written consent, using interfaces not provided by the company, or attempting reverse engineering.
Do not host, upload, or distribute material that violates applicable laws, infringes on intellectual property rights, contains harmful content, or deceives addressees.
Do not copy, extract, download, modify, exploit, share or sell any content, data, or information on the website for purposes inconsistent with the platform's intended use and listed Terms.
Commercial Use Restrictions: Users are expressly prohibited from using or exploiting the platform for commercial purposes that include but are not limited to creating alternate databases, engaging in competitive business activities, seeking fees, or approaching candidates for purposes other than specific existing vacancies.
Automated Actions: Using automated programs, scripts, robots, or any similar processes to access, monitor, download, scrape, or modify data from the platform without explicit written consent is strictly prohibited.
Unauthorized Access and Security: Do not attempt to gain unauthorized access to other users' accounts, profiles, confidential information on the Site and its servers, or any portion of the Platform not intended for you.
Do not attempt to breach or circumvent security measures, probe network vulnerabilities, or interfere with the platform's security features.
Harassment: Prohibited actions include spamming, impersonation, stalking, or engaging in any behavior that harasses other users or the Platform.

Intellectual Property Rights

Users are expected to respect the intellectual property rights of the Company and refrain from any unauthorized use, reproduction, or distribution of the Platform's content or associated intellectual property.

Ownership and Protection: All rights, title, and interest in the Company, including its intellectual property rights, are owned by the Company and protected by applicable laws. This includes but is not limited to proprietary databases, trademarks, service marks, logos, copyrights, and know-how. The Company retains ownership of all intellectual property associated with the Platform.
Limited License: Users are granted a limited, revocable, personal license to use and access the Platform for its intended purpose, provided they comply with these Terms of Use. Users may not sublicense, assign, or transfer the license, and any attempt to do so is void. No rights other than those expressly granted in these Terms of Use are conferred upon the user.
Misuse Prohibition: Any misuse of the Platform or the Company’s intellectual property for competitive purposes or otherwise shall be actionable by the Company. The structure, sequence, organization, and source code of the platform are considered valuable trade secrets and copyrights of the Company.
Non-Confidentiality of Information: Users acknowledge that any information or material provided to the Company is not confidential or proprietary. By providing such information or material, users grant the Company a non-exclusive, unrestricted, irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, display, transmit, translate, modify, disclose, publish, create derivative works, and distribute that material or information. Users further agree that the Company is free to use any ideas, concepts, know-how, or techniques provided.
Survival of Rights: The provisions and rights granted regarding title and intellectual property rights associated with the Platform shall survive the termination of these Terms of Use.

License to Use and Limitations

For Job Seekers: The Company provides you with a limited, revocable, non-exclusive right to access and utilize the Platform for your personal job-seeking endeavors. This permission allows you to browse and save a single copy of the content on the site strictly for personal, non-commercial purposes. Accessing and using the Platform is considered a privilege granted by the Company, which reserves the right to suspend or terminate this privilege at its discretion, for any reason.
For Employers: The Company provides you with a limited, revocable, non-exclusive right to access and engage with the Platform for internal business purposes related to recruiting candidates for employment. This authorization allows you to view and download a single copy of the content on the site for your personal use directly linked to your recruitment activities.
This license does not entail the sale of any ownership rights. The Platform is intended for your sole use, and you are prohibited from renting, lending, sublicensing, or transferring the website or any data contained therein, or any rights granted under this agreement, to any third party. You are not permitted to create or develop, for commercial purposes, any data in machine-readable or other forms that incorporate or utilize any significant portion of the website. Furthermore, you may not transmit or store any data accessed or exchanged through the Platform on any electronic network for the use of multiple users without obtaining prior written consent from the Company.
The Company reserves the right to suspend or terminate your access at any time if it determines that you have violated any of the Terms and Conditions. By using the Platform, you agree to adhere strictly to any usage restrictions imposed by the Company. These restrictions may include limitations based on geographic location (such as access restrictions) or quantity (such as limits on the number of resumes accessed or downloaded per day). Any violation of these restrictions may result in the Company suspending your access to the platform or discontinuing its services. The Company reserves the right to take appropriate action as it deems necessary in response to such violations.

Liability Limits

The Company shall not be liable for:

The contents of any communication, message, or information provided to the Company by you or other third parties.
The contents of any website not controlled, owned, or operated by the Company that is accessed from or linked to this website by direct or indirect means.
Any damages or injuries caused by, including but not limited to, any failure of performance, error, omission, interruption, defect, delay in operation of transmission, computer virus, or line failure.
Any direct, indirect, incidental, special, or consequential damages, whether in contract, tort, strict liability, or otherwise, arising out of or related to the use of or inability to use this website, even if the Company has been advised of the possibility of such damages.

You expressly understand and agree that, to the maximum extent permissible under applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, revenue, goodwill, use, data, or other intangible losses (even if you have been advised of the possibility of such damages).

The Company provides no guarantees of server uptime or applications working properly. In no event will the Company’s aggregate liability to you for any claims, including under tort, contract, or otherwise, exceed the amount of fees paid by you to the Company. These limitations and exclusions will apply notwithstanding any failure of the essential purpose of any limited remedy.

Payment Terms

Payments for the services offered by the Platform shall be made on a 100% advance basis. Once subscribed, the payment for the service is non-refundable, and any amount paid shall stand appropriated. Refunds, if any, will be at the sole discretion of the Company.

Invoice Delivery: Users hereby accept to receive the tax invoice as a soft copy through emails.
Performance Obligation: The Company's performance obligation is to provide access to its online portal for the duration of the subscription period. Any usage or performance obligation serves as an upper limit for consumption and does not create additional obligations upon the Company.
Refund Accuracy and Timeliness: The Company offers no guarantees for the accuracy or timeliness of refunds reaching the customer's card/bank accounts.
Forfeiture upon Non-Compliance: In case of suspension or termination of services due to non-compliance with the Terms of Use, any payment made to the Company shall stand forfeited immediately.
Set-off Rights: The Company reserves the right to set off any excess amount paid by a subscriber against any amount payable by the User under any other agreement or commercial relationship.
Limited Liability: The Company provides no guarantees of server uptime or application functionality. Liability is limited to refund of the amount only, and the Company assumes no liability for free services.
TDS Certificate Requirement (if applicable) : Users are required to promptly provide a copy of the TDS certificate to the Company as mandated by law. Any loss due to non-availability or disallowance of TDS credit entitles the Company to seek reimbursement or indemnification.
Third-Party Payment Gateways: Users are redirected to third-party gateways for completing payment transactions. These transactions occur on third-party networks and are not controlled by the Company.
User Responsibility for Transactions: Users are solely responsible for carrying out any online or offline transactions involving credit cards, debit cards, or other instruments. The Company assumes no responsibility or liability for improper usage of such information.
Disclosure Disclaimer: The Company shall not be liable for any loss or damage sustained due to any disclosure of user account information or online transaction details, whether inadvertent or otherwise, including errors, omissions, or inaccuracies in the disclosed information.

Indemnification

By accepting these Terms of Use, you agree to indemnify and hold harmless the Company, its directors, officers, employees, agents, subsidiaries, affiliates, and other partners from any direct, indirect, incidental, special, consequential, or exemplary damages arising out of, relating to, or resulting from your use of the Platform, including but not limited to information provided by you or any other matter relating to the Platform.

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents, from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Platform or your breach of these Terms and Conditions of Use.

Furthermore, you agree to indemnify and hold the Company, its directors, officers, employees, agents, and representatives harmless from all claims, liabilities, damages, and expenses (including attorneys' fees and expenses) arising out of or relating to your use of the Platform or any alleged breach of these Terms and Conditions of Use.

This indemnification extends to any claims or demands made by third parties, including but not limited to claims related to proprietary or intellectual property rights. You agree to bear all costs associated with defending such claims, including attorney fees, and to fully cooperate with the Company in the defense of any such claims.

The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company in asserting any available defenses.

The Company does not make any representations regarding the accuracy, completeness, quality, effectiveness, or reliability of the information provided by external coaches or coaching programs and Users are urged to exercise their own judgment and discretion when utilizing the services of external coaches or coaching programs accessed through the Company.
